QUOTATIONS/PURCHASE ORDERS ARE SUBJECT TO THE FOLLOWING TERMS AND CONDITIONS:
Utility Control and Equipment Corporation agrees to sell the equipment covered herein on the following terms and conditions which are attached to and hereby expressly made part of this agreement of sale. Additional terms and conditions will be accepted only upon mutual agreement in writing.
Orders: Contracts and Orders are subject to credit reference approval, Terms will be determined based on credit references, and payment history. Terms for approved accounts are net 30 payable in US currency.
Prices: Prices quoted are firm for 30 days, and automatically expire 30 days from the date of issue. Freight charges will be prepay and add.
Shipping: The seller will carefully package all shipments to avoid any damage in transit. Our liability will cease once we have received a P.O.D. and confirmation of materials arrival in good condition.
If not specified by the buyer, Materials will be shipped f.o.b. using the freight carrier of the Seller’s choice. Shipping charges will be prepaid and added to the invoice.
If goods or materials are to be held within our facility after completion, for the convenience of the Buyer; equipment will be invoiced at the point of completion. Terms of payment will apply from the date of invoice. Said materials may be subject to charges for warehousing and other expenses due to such delays.
Guarantee: Products covered by this quotation are guaranteed by the manufacturer. The Terms and Conditions of this guarantee are available upon request. The Seller is not responsible for damage incurred during installation, or attempts to operate it above/beyond or out of its rated voltage/current capacity, temperature range, or environmental specification.
If any device is found to be unsatisfactory, the Buyer should notify the Seller. After receipt of shipping advice, the Buyer may return it directly to Utility Control and Equipment Corp. with shipping/carrying charges prepaid. Unsatisfactory equipment will be replaced and returned to the Buyer in perfect working condition, in fulfillment to all agreements to the buyer. The Seller does not assume responsibility for unauthorized repairs done to the equipment. Any unauthorized repairs or adjustments, shall cancel this guarantee and release Utility Control and Equipment from further responsibility.
The Seller shall not be liable for any consequential damage in case of any failure to meet the conditions of any guarantee of shipping schedule; nor will claims for labor, loss of profits, repairs, or other expenses incidental to replacement be allowed.
No other representations, guarantees, or warranties expressed or implied are made by the Seller in connection to the manufacture and sale of equipment.
Taxes: Buyer shall provide tax exemption, or other documentation in regard to acceptable taxing or customs authorities to the seller at time of order. Any manufacturer’s excise tax, use tax, or tax/duty, of any nature arising out of or assessed against orders will be added to the quoted price upon invoicing, and paid by the Buyer.
Shipping Dates: The Seller shall not be liable for default or delay in shipping due to contingencies beyond control, or control of suppliers, or said contractors, which prevents or interferes with the Seller making delivery on date specified. Seller reserves the right to cancel a Contract of sale, or extend the shipping date if any such contingencies prevent or delay shipping. If the Buyer changes shipping instructions, any initial shipping charge shall be paid by the Buyer as part of the purchase price.
Cancellation: Orders are not subject to cancellation, or change in specification, shipping schedules, or any other conditions originally agreed upon, without the Seller’s written consent, and only then upon agreement to compensate the Seller for costs incurred by such cancellation or change.
Returns for Credit: No returns for credit will be accepted without the Seller’s advance acceptance. Documentation with detailed reasoning must be submitted in writing, Restock fees will be assessed, and non-cancellable/returnable parts will remain the property of the Buyer. Credit will only be issued to the Buyer.
Laws and Regulations: the Seller has complied with all applicable Federal, State, and Local laws in connection with the manufacture and sale of all equipment. No responsibilities or liabilities will be taken for import duties, laws, regulations or taxes imposed by any foreign country.
Liability: The Buyer shall remain primarily liable for the purchase price and the Seller shall not be obliged to accept any Term or Condition of payment which will shift said liability to a third person, not party to the original contract of sale, whether or not such third person is United States Government, it’ agents, or instrumentalities.
Bond Premiums: In the event the seller shall be required as a condition of the manufacturer and sale of equipment to furnish a performance bond, the Buyer shall pay as part of the purchase price of said equipment, all bond premiums, and expense in connection therewith.

Many UCEC manufacturing partners and suppliers have advised that until further notice they reserve the right to amend the delivery date, the price, the scope or quantity of supply and/or other terms and conditions set out in their offer or quotation to the extent affected by the COVID-19 pandemic. Be advised that UCEC and their suppliers consider any COVID-19 related changes imposed by manufacturers as outside its reasonable control and subject to Force Majeure provisions.
Errors: All clerical errors are subject to correction.
